Terms of Service

Last updated: 7 October 2026

Accepting these terms

These Terms of Service (“Terms”) govern your use of the Agentcites website, app and services (together, the “Service”). By using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service. These Terms are a legally binding agreement between you (“you”) and Holgrex LLC, which operates Agentcites (“we”, “us” or “our”).

You confirm that you are at least 18 years old and able to enter into a contract. If you use the Service for an organisation, you confirm that you are allowed to bind that organisation to these Terms.

What the service does

Agentcites shows you what AI assistants say when people ask them about your market. It lets you:

  • Add your website, which our crawler reads.
  • Generate questions a buyer might ask about your market, and edit them.
  • Ask those questions of AI assistants and see their answers, word for word, with the pages they cite.
  • See where competitors are named and you are not.
  • Get AI-drafted pages that you can check, edit and publish.
  • Work with your team under different roles.

Which AI assistants a scan asks can change over time, as providers change what they offer.

Your account

Creating an account

You sign in with your email address and a six-digit code we email to you. There is no password. You agree to:

  • Give a real email address and name.
  • Keep your details up to date.
  • Not create several accounts to get around limits or for fraud.
  • Not share your sign-in with others. Invite them to your team instead.

Keeping it secure

Anyone who can read your email can sign in as you. You agree to:

  • Keep your email account secure.
  • Never share a sign-in code.
  • Tell us straight away if you think someone else got in.
  • Give team roles only to people you trust with them.

You are responsible for everything done under your account and your organisation. We are not liable for loss caused by your failure to keep your email or sign-in codes safe.

Subscription and billing

The plan

Agentcites has one plan. It costs $149 a month for each website on your account, and each website includes:

  • 50 questions for the website.
  • A scan every week, plus scans you start by hand, up to a daily limit.
  • 50 drafted pages a month.

You can add more websites. Each one is charged at the same price, with the same allowances.

We may change these limits. We will tell you before a change that reduces what you get takes effect. Current details are on our pricing page.

Billing

  • You pay in advance, every month. The subscription renews automatically each month until you cancel.
  • Prices are in US dollars.
  • Prices do not include taxes. Where tax applies, it is added to the price.
  • You allow us, through Stripe, to charge your card automatically on each renewal date.
  • Only owners of an organisation can manage billing.
  • Fees are not refundable, except as the law requires or as these Terms say.

Failed payments

If a payment fails, Stripe tries again. You keep access while it does. If Stripe stops trying and the subscription becomes unpaid or cancelled, you lose access to scans and drafted pages until you pay.

Price changes

We may change the price. We will give you at least 30 days’ notice before a price increase takes effect. If you do not accept it, you can cancel before your next renewal.

Cancelling

You can cancel at any time from the Billing screen in the app, which opens Stripe’s customer portal. Your plan stays active until the end of the month you have paid for, and then it stops. We do not refund part months or unused allowance, except:

  • If we end your account without cause.
  • If the law requires a refund.
  • If we decide a refund is fair in a particular case.

Refund window

You must ask for a refund within 14 days of the payment you want refunded, whether it was your first payment or a renewal. We do not refund requests made after 14 days, however much or little you used the Service.

To ask, email [email protected] with your account email address and the reason. Approved refunds go back to the card you paid with, usually within 5 to 10 business days.

Chargebacks

If you have a billing problem, contact us before you go to your bank or card issuer. Filing a chargeback or payment dispute outside the 14-day refund window breaks these Terms. We may suspend or close accounts linked to fraudulent chargebacks, and recover any money owed through the legal means available to us.

Acceptable use

You must use the Service lawfully and in line with these Terms. You must not:

  • Add a website you do not own or are not authorised to act for.
  • Use questions or drafted pages to publish anything illegal, defamatory, hateful, misleading or harmful.
  • Infringe anyone’s intellectual property or privacy.
  • Try to overload or misuse the Service or the AI providers behind it, for example by using the Service to send them large volumes of requests for another purpose.
  • Get around plan limits, security measures or access controls.
  • Try to get into our systems or another customer’s account without permission.
  • Reverse engineer, decompile or copy the Service.
  • Resell the Service without our written permission.
  • Upload malware or other harmful code.
  • Break any law or regulation that applies to you.

If you break these rules, we may remove content, suspend or close your account, report illegal activity to the authorities, or take legal action.

Contacting people

The Service may show you the author name and email address written on a public web page that an AI assistant cited. We show it so you can decide whether to get in touch. We do not send any email for you.

If you contact anyone you found through the Service, you must:

  • Follow the anti-spam and marketing laws that apply to you and to them. These include the CAN-SPAM Act in the United States and the Privacy and Electronic Communications Regulations and ePrivacy rules in the United Kingdom and the European Union.
  • Say who you are and why you are writing.
  • Stop contacting anyone who asks you to stop.
  • Not add anyone to a mailing list, or sell or share their details, without a lawful basis.

You are responsible for every message you send. We are not responsible for how you use contact details shown in the Service.

Your content

What you own

You keep ownership of your content: your website, the questions you write or edit, and the drafted pages once you edit and publish them (“Your Content”). You give us a limited, worldwide, non-exclusive, royalty-free licence to:

  • Store, process and send Your Content to provide the Service.
  • Send questions and website text to the AI providers listed in our Privacy Policy.
  • Make backups.

What you promise

You are responsible for Your Content. You confirm that:

  • You own it or have the right to use it.
  • It does not break these Terms or any law.
  • It does not infringe anyone else’s rights.

Exporting and deleting

You can download the tables on each screen of the app as CSV files while your account is active. To delete your account and its data, email [email protected]. We keep your data for as long as your account exists and delete it when you ask, except where the law requires us to keep it.

AI answers and drafted pages

Two kinds of text in the Service come from AI models, and you should treat both with care.

  • Answers from AI assistants. These are written by third-party AI assistants, not by us. We quote them word for word. They may be wrong, out of date or unfair, and the same question can get a different answer each time it is asked.
  • Drafted pages. These are written by an AI model. They may contain mistakes or claims you cannot support. You must read and check every drafted page before you publish it. Once you publish it, it is your content and your responsibility.

We do not promise any result. We do not promise that an AI assistant will name you, cite your pages or rank you anywhere, or that you will get more traffic or customers. We report what the assistants said. We cannot control what they say next.

Intellectual property

What we own

The Service, including its design, software, methods and trademarks, belongs to Holgrex LLC and is protected by intellectual property law. This does not include Your Content. You must not:

  • Copy or modify the Service, or build a copy of it.
  • Use our name, logo or branding without permission.
  • Remove copyright notices or other ownership marks.

Copyright complaints

We respect intellectual property. If you believe your copyright has been infringed, email our copyright agent at [email protected] with:

  • A description of the copyrighted work.
  • Where the infringing material is.
  • Your contact details.
  • A statement that you believe in good faith the use is not authorised.
  • A statement that the information you gave is accurate.
  • Your physical or electronic signature.

Third-party services

The Service depends on third parties, including AI providers, Stripe for payments and Resend for email. Your use of them is also subject to their own terms. We are not responsible for:

  • Changes a third party makes to its service, prices or rules.
  • Outages or errors at a third party.
  • What an AI assistant says, cites or leaves out.
  • How a third party handles data under its own policies.

Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. This includes, but is not limited to:

  • Warranties of merchantability, fitness for a particular purpose or non-infringement.
  • Warranties that the Service will be uninterrupted, error-free or secure.
  • Warranties about the accuracy, reliability or completeness of any answer, drafted page or result.

We do not promise that the Service will meet your needs. You are responsible for checking AI-written text before you rely on it or publish it.

Limitation of liability

To the fullest extent the law allows, Holgrex LLC is not liable for any indirect, incidental, special, consequential or punitive damages. This includes, but is not limited to:

  • Loss of profits, data, use or goodwill.
  • Business interruption or loss of revenue.
  • The cost of replacement services.
  • Damage caused by third parties, including what an AI assistant says.
  • Damage caused by unauthorised access or a data breach.

Our total liability for any claim about the Service will not be more than the amount you paid us in the 12 months before the claim.

Some places do not allow these limits. There, our liability is limited as far as the law allows.

Indemnification

You agree to defend and compensate Holgrex LLC, its affiliates, officers, directors, employees, agents and licensors against any claim, liability, damage, loss, cost or expense (including reasonable legal fees) that arises from:

  • Your use or misuse of the Service.
  • Your Content, including any page you publish.
  • Any message you send to someone you found through the Service.
  • Your breach of these Terms.
  • Your breach of anyone else’s rights, or of any law.

This promise continues after these Terms end.

Ending the agreement

If you end it

You can cancel your subscription at any time from the Billing screen, and ask us to delete your account by email. When you do:

  • Your plan stays active until the end of the paid month.
  • We delete your data when you ask us to, except what the law requires us to keep.
  • You lose access to the Service and your data.

If we end it

We may suspend or close your account straight away, without notice or liability, if:

  • You break these Terms.
  • Your account is involved in fraud or illegal activity.
  • You do not pay.
  • The law requires us to.
  • We shut the Service down. In that case we give 30 days’ notice and refund the unused part of your payment.

What happens after

When the agreement ends, your rights under these Terms end too. The parts that are meant to last, including the disclaimers, the limits on liability, indemnification and dispute resolution, still apply.

Changes to the service and terms

Changes to the Service

We may change, suspend or stop any part of the Service at any time, with or without notice. We are not liable for doing so.

Changes to these Terms

We may update these Terms. We will post the new version here and change the date at the top. For a significant change, we may also email you.

If you keep using the Service after a change takes effect, you accept the new Terms. If you do not agree, stop using the Service and cancel your subscription.

Governing law and disputes

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. You agree that the state and federal courts located in Wyoming have exclusive jurisdiction.

Talk to us first

If you have a dispute about these Terms or the Service, email us first at [email protected] so we can try to settle it informally. If we cannot settle it within 60 days, either of us may start formal proceedings.

Arbitration

Apart from small claims and intellectual property disputes, any dispute will be settled by binding arbitration. The American Arbitration Association will run it under its Commercial Arbitration Rules, in Wyoming. Any court with jurisdiction may enforce the arbitrator’s decision.

No class actions

You agree to bring disputes against us only as an individual, not as part of a class or representative action. You give up any right to take part in a class action lawsuit or class-wide arbitration.

General provisions

  • Entire agreement. These Terms, our Privacy Policy and any other agreement you sign with us are the whole agreement between you and us about the Service.
  • Severability. If a court finds part of these Terms invalid, the rest still applies.
  • Waiver. If we do not enforce a right now, we have not given it up.
  • Assignment. You may not transfer these Terms or your account without our written consent. We may transfer them to an affiliate or as part of a merger, acquisition or sale of assets.
  • Events outside our control. We are not liable for failure or delay caused by things we cannot reasonably control, such as natural disasters, war, network failures, strikes, or outages at our providers.
